Background and Analysis:
The City of Olympia owns the Washington Center for the Performing Arts. The City has had an agreement for the past 30 years with the WCPA, a nonprofit organization, to operate and market the facility.

The current operating agreement, amended in June 2016, states that no later than December 31, 2017, the City and WCPA agree to negotiate in good faith, a new operating agreement. This new operating agreement provides improved clarity related to facility maintenance and repair responsibilities. Approval of this new operating agreement does not affect the terms of the lease, which is valid through 2034.

Neighborhood/Community Interests (if known):
There are no known community concerns regarding this operating agreement. The operating agreement allows for continued public entertainment, meetings and cultural events for the community.

Options:
1. Approve the resolution authorizing the City Manager to sign a new Operation Agreement with the Washington Center for the Performing Arts, Incorporated (WCPA). There will be clear repair and maintenance roles and responsibilities for operating the facility.

2. Modify the operating agreement to address any Council concerns.

3. Do not approve the operating agreement. Clear repair and maintenance roles and responsibilities for the facility will not be achieved.
